Winner in the Industrials category was Canadian Pacific Railway Limited, one of Canada’s oldest companies. They structured the largest and most important transaction in their history with the acquisition of Dakota, Minnesota & Eastern Railroad. The transaction significantly expanded its current geographic footprint with an option for even further expansion into a key resource play, with an innovative earn-out approach developed to seal the deal. All stakeholders benefited from the planned increased investment in infrastructure and improved operations and safety conditions.

Winner in the Energy, Power and Utilities category was Fortis Inc. for its acquisition of Terasen Inc. The transaction doubled its regulated rate base and established the company as the largest investor-owned gas and electric distribution utility in Canada. Fortis Inc. was also awarded the Deal Team of the Year award.
Fortis Inc. has been very quietly building a track record at sourcing and executing excellent deals. Since 1987, the team has grown its asset base from less than $400 million located primarily in just one small region of Canada to an internationally diversified company with assets of over $10 billion. The company’s performance along the way has been truly impressive, exceeding both its index and the S&P/TSX Composite index as a whole over the past five years despite being a very conservative organization and in a segment not exactly known for high rates of returns. It has also increased its annual dividend to common shareholders for 35 consecutive years, the longest record of any public corporation in Canada. The blockbuster transaction which it executed in 2007 continues this pattern. It wasn’t a duke it out affair broadcast in the public arena or one that involved new intricacies of law or complex financial instruments, but rather another example of a team quietly working a deal and executing it properly with precision and creating value for its shareholders.

This is a definitive step in its objective of becoming a leading North American power house in financial services by completing a transaction which was a perfect strategic and cultural fit.
Winner of the Foreign Acquisition of the Year Award was TD Bank Financial Group with its acquisition of Commerce Bancorp. They winner demonstrated excellence in executing a very complex and extremely strategic acquisition in the United States of America, earning accolades from all involved. In this case the target’s stated objective was to turn customers into FANS! and put the WOW! into the world of banking. That turned out to be very prophetic as our judges were WOWED! by the transaction and became FANS! of the deal.

Winner in the Mining category was Yamana Gold, Inc. for its acquisitions of Meridian Gold and Northern Orion. They completed a company defining event in a very complex and rare three-way merger. The deal is both strategic and logical and provides shareholders with growth in resources, production, cash flow and earnings as well as sustainability and longevity.
Yamana Gold, Inc was also the winner of the Value Creation Deal of the Year. The judges were also fans of this winner, which has truly transformed the company over the past three years with its demonstrated proficiency in executing not one but a series of value enhancing deals. The value creation results are truly impressive.
